Terms of Service

These terms govern your access to and use of the Keystone application and related services (the "Services"), operated by The Main Street Operator. By using the Services you agree to these terms. If you do not agree, do not use the Services.

The Services

Keystone provides a business diagnostic that returns three scores and an estimated sale price range, plus an operating layer for owners. Some features depend on your subscription tier or on integrations you choose to connect.

The valuation estimate is informational, not advice

Keystone produces an estimate calibrated against historical closed-transaction data and public loan records. It is an informational tool, not an appraisal, a brokerage opinion of value, or financial, legal, tax, or investment advice. An actual sale price depends on factors outside any model, including the specific buyer, deal structure, market timing, and diligence. Do not rely on the estimate as the sole basis for a transaction. For decisions that matter, consult a qualified appraiser, broker, accountant, or attorney.

Accounts and eligibility

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account, and you must be able to form a binding contract to use the Services.

Subscriptions and billing

Paid plans are billed through our payment processor at the price and interval shown when you subscribe. Current pricing is published on our pricing page. Unless stated otherwise, subscriptions renew automatically until you cancel, and cancellation takes effect at the end of the current billing period.

Acceptable use

You agree not to misuse the Services, including attempting to disrupt or compromise them, accessing data that is not yours, scraping or reselling content without permission, reverse-engineering the diagnostic, or using the Services to violate any law.

Your data and content

You keep ownership of the business information you enter, and the reports generated for you are yours to use for your own business. You grant us the limited rights needed to operate and improve the Services. How we handle your information is described in our Privacy Policy.

Intellectual property

The Services, including the content, scoring methodology, software, and brand, are owned by The Main Street Operator and protected by intellectual-property law. We grant you a limited, personal, non-transferable license to use the Services for their intended purpose.

Third-party integrations

If you connect a third-party tool, your use of that tool is governed by its own terms, and we are not responsible for services we do not control.

Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any estimate will be accurate for your situation.

Limitation of liability

To the fullest extent permitted by law, The Main Street Operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or business losses, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the claim.

Termination

You may stop using the Services at any time. We may suspend or end access if these terms are violated or to protect the Services. You can request deletion of your account and records at any time.

Changes and governing law

We may update these terms as the Services change, revising the date above; continued use means you accept the update. These terms are governed by the laws of the United States and the state in which The Main Street Operator is established, without regard to conflict-of-law rules.
